The Board of Directors of Holdings (the "Board") and the board of directors or the Company (the "Company Board") have determined that it is in the best interests of Holdings and the Company and its stockholders to assure that Holdings and the Company will have the continued dedication of the Executive, notwithstanding the possibility, threat or occurrence of a Change of Control (as defined below) of Holdings.
