This Purchase and Sale Agreement (“Agreement”) is made and entered into this 31st day of August 2011 (the “Effective Date”) by and between Potash America, Inc., a Nevada corporation (“Buyer”) and Kim Diaz, an individual, and Sonseeahray Diaz, an individual (collectively the, “Seller”).
