THIS CHANGE IN CONTROL AGREEMENT (the “Agreement”), is made effective as of August 18, 2016 between AngioDynamics, Inc., a Delaware corporation (the “Company”), and Michael C. Greiner, an individual resident of the State of New York (“Executive”).

This Performance Unit Award Agreement (this “Agreement”), dated as of the 27th day of July, 2016 (the “Grant Date”), is between AngioDynamics, Inc., a Delaware corporation (the “Company”), and the (“Participant”), an employee of the Company or any of its affiliates or subsidiaries and whose name appears on the signature page hereto. All capitalized terms not otherwise defined herein shall have the meaning ascribed thereto in either the AngioDynamics 2004 Stock and Incentive Award Plan, as amended (the “Plan”) or in the Total Shareholder Return Performance Unit Award Program (the “Program”) for the period beginning July 15, 2016 and ending on the date that is the second trading day following the Company’s annual earnings announcement for the fiscal year ending May 31, 2019 (the “Performance Period”).
