THIS PURCHASE AND SALE AGREEMENT (the “Agreement”) is made and entered into as of 10th day of November, 2006 (the “Effective Date”) by and between NTS REALTY HOLDINGS LIMITED PARTNERSHIP, a Delaware limited partnership, whose address is 10172 Linn Station Road, Louisville, Kentucky 40223 (“Seller”), and MERIDIAN REALTY INVESTMENTS, LLC, a Kentucky limited liability company, whose address is 101 South Fifth Street, Louisville, Kentucky 40202 (“Purchaser”).
