This letter records our agreement with respect to the proposed sale to IAMGOLD Corporation (“IAMGOLD”) of all of the interests of Gold Fields Limited (“Gold Fields”) in certain of its subsidiaries and other companies in which it has an interest which collectively hold all of Gold Fields’ mining assets located outside the Southern African Development Community (the “Transaction”).
