This Third Amendment dated as of October 21, 2010 (this “Third Amendment”) to the Note Purchase Agreement dated as of June 19, 2002 is between Enermark Inc., an Alberta corporation (the “Company”) and Enerplus Resources Fund, a trust formed in accordance with the laws of Alberta (the "Fund") and each of the institutions which is a signatory to this Third Amendment (collectively, the “Noteholders”).
