Cormark Securities Inc. (“Cormark”), on its own behalf or on behalf of a syndicate of underwriters to be named and led by Cormark (collectively, the "Underwriters"), hereby agrees to purchase for resale, on a bought deal basis, an aggregate of 8,970,000 units (the “Units”) of Golden Queen Mining Co. Ltd. (the "Company") at a price of $1.45 per Unit (the “Offering Price”) for aggregate gross proceeds of approximately $13 million (the “Offering”). In addition, the Company will grant the Underwriters an option (the “Over-Allotment Option”) to purchase up to an additional 1,345,000 Units (the “Over-Allotment Units”) at the Offering Price, for additional gross proceeds of up to $1,950,000 for the purpose of covering the Underwriters’ over-allocation position and for market stabilization purposes.
