Reference is made to the sales agreement (the “Original Agreement”) among Aurora Cannabis Inc. (the “Company”), Cowen and Company, LLC (“Cowen”) and BMO Capital Markets Corp. (“BMOCM” and, together with Cowen, the “Executing Agents”), dated as of May 14, 2019. Capitalized terms used herein but not defined herein shall have the meaning given to those terms in the Original Agreement.
