THIS THIRD AMENDMENT TO CREDIT AGREEMENT (this “Agreement”), dated as of April 30, 2024 (the “Third Amendment Effective Date”), is entered into among BLACKBAUD, INC., a Delaware corporation (the “Company”), the Lenders party hereto, and BANK OF AMERICA, N.A., a national banking association, as Administrative Agent (the “Administrative Agent”) for the Lenders (as hereinafter defined).
