AMENDED AND RESTATED CREDIT AGREEMENT, dated as of September 5, 2019, by and among RealPage, Inc., a Delaware corporation, as Borrower, the lenders who are party to this Agreement and the lenders who may become a party to this Agreement pursuant to the terms hereof, as Lenders, and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as Administrative Agent for the Lenders.

This AMENDED AND RESTATED GUARANTY AGREEMENT (this “Guaranty”), dated as of September 5, 2019, is made by and among REALPAGE, INC., a Delaware corporation (the “Borrower”), and certain Domestic Subsidiaries of the Borrower party hereto (such Subsidiaries, collectively, the “Subsidiary Guarantors” and, together with the Borrower, the “Guarantors” and each, a “Guarantor”), in favor of WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent (in such capacity, the “Administrative Agent”) for the benefit of itself and the Secured Parties.
