Prospect Capital Corporation, a corporation organized under the laws of Maryland (the “Company”), Prospect Capital Management LLC, a Delaware limited liability company registered as an investment adviser (the “Adviser”) and Prospect Administration LLC, a Delaware limited liability company (the “Administrator”) and [ ] (“Agent”) previously entered into an equity distribution agreement dated August 29, 2014 (the “Original Agreement”). The parties hereby terminate the Original Agreement and confirm their agreement in the form of this Equity Distribution Agreement (this “Agreement”) as follows:

If this Agreement is executed by or on behalf of any party, such person hereby states that at the time of the execution of this Agreement he has no notice of revocation of the power of attorney by which he has executed this Agreement as such attorney.
