This MEMBERSHIP INTEREST PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of July 31, 2006, is entered into by and among Huron Consulting Group Holdings, LLC, a Delaware limited liability company (“Purchaser”), Document Review Consulting Services LLC, a Delaware limited liability company (the “Company”), and Robert Rowe (the “Seller”).
