THIS THIRD SUPPLEMENTAL INDENTURE, dated as of August 1st, 2007, is among PROPIMEX, S.A. de C.V., a Mexican corporation (the “Successor”), and The Bank of New York, a New York banking corporation, as trustee (the “Trustee”). The trustee is a successor to JPMorgan Chase Bank (formerly The Chase Manhattan Bank) under the Indenture.
