This agreement (“Agreement”) dated as of the 19th day of December, 2007 by and between The Nottingham Management Company (the “Administrator”), a North Carolina corporation, on behalf of those business companies and trusts listed on Exhibit A, attached hereto and made a part hereof (individually, a “Trust” and collectively the “Trusts”) and Union Bank of California (the “Bank”), a federally chartered banking corporation.

This Custodian Agreement is made by and between the TILSON INVESTMENT TRUST ("Trust"), a statutory trust duly organized under the laws of the State of Delaware, and UNION BANK OF CALIFORNIA, N.A. (“Bank”), a national bank.

THIS ADDENDUM (“Addendum”) to that certain Master Custodian Agreement (the “Agreement”) dated December 19, 2007, by and between The Nottingham Management Company (the “Administrator”) and Union Bank of California, N.A (the “Bank”) is made and entered into this ____ day of January, 2007. All defined terms in this Addendum shall have the same meaning as in the Agreement unless specifically stated otherwise. In the event there are any inconsistencies between the Agreement and this Addendum, the provisions of this Addendum control.
