This Registration Rights Agreement (this “Agreement”) is made and entered into as of December 11, 2007, between Continental Fuels, Inc., a Nevada corporation (the “Company”), and Sheridan Asset Management, LLC (the “Purchaser”). This Agreement is made pursuant to the Loan Agreement, dated as of the date hereof among the Company and the Purchaser and certain other parties named therein (the “Loan Agreement”). The Company and the Purchaser hereby agree as follows: 1.
