THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of January 20, 2005, by and among Endeavour International Corporation, a Nevada corporation (the “Company”), and J.P. Morgan Securities Inc. and Sanders Morris Harris Inc.
