THIS EMPLOYMENT AGREEMENT (this “Agreement”) is entered into by and between Santarus, Inc., a Delaware corporation (the “Company”), and Michael Step (“Executive”), and shall be effective as of February 7, 2005 (the “Effective Date”).

THIS AGREEMENT, dated as of the Grant Date set forth on Exhibit A hereto, (the terms of which are hereby incorporated by reference and made a part of this Agreement) is made by and between Santarus, Inc., a Delaware corporation, hereinafter referred to as the “Company,” and the Employee, Director or consultant of the Company, or a Subsidiary of the Company, identified on Exhibit A and hereinafter referred to as “Optionee.”
