THIS STOCKHOLDER PROTECTION RIGHTS AGREEMENT (as amended from time to time, this “Agreement”) is made and entered into as of July 27, 2005, between Knology, Inc., a Delaware corporation (the “Corporation”), and Wachovia Bank, National Association, as rights agent (the “Rights Agent,” which term shall include any successor rights agent hereunder).
