THIS AMENDED AND RESTATED COLLATERAL AGENCY AND SECURITY AGREEMENT, dated as of August 9, 2005 (this “Agreement”), among ELCOM INTERNATIONAL, INC., a Delaware corporation (the “Company”), William W. Smith, as Collateral Agent (“Collateral Agent”) and the holder of the 8% Note (as defined below) and the holders of the 12% Notes (as defined below) (the “Secured Parties”) amends and restates that certain Collateral Agency and Security Agreement, dated as of April 6, 2005 (the “Original Agreement”) among the Company, the Collateral Agent and Robert J. Crowell and William W. Smith (the “Original Secured Parties”);
