This REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of September 22, 2005, is entered into by and among Education Realty Trust, Inc., a Maryland corporation (the “Company”), and the investors named on the signature pages hereto (the “Holders”). Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in Section 1 hereto.

This PURCHASE AGREEMENT (this “Agreement”), dated as of September 22, 2005, is by and among Education Realty Trust, Inc., a Maryland corporation (the “Company”), and the investors named on the signature pages hereto (each, a “Subscriber” and collectively, the “Subscribers”).
