This Subscription Agreement (this “AGREEMENT”) is entered into as of February 20, 2006 by and between Loudeye Corp., a Delaware corporation (the “ISSUER”), and the investors identified on the signature pages and Annex I hereto (each an “INVESTOR” and collectively, the “INVESTORS”).
