THIS LOAN AGREEMENT, made as of March 1, 2006, is by and among CNL INCOME GW WI-DEL, LP, a Delaware limited partnership (“Dells Borrower”), and CNL INCOME GW SANDUSKY, LP, a Delaware limited partnership (“Sandusky Borrower”; Dells Borrower and Sandusky Borrower are collectively and individually referred to herein as “Borrower”; references herein to “Borrower,” unless otherwise specifically stated, shall also mean and refer to each and every one of Dells Borrower and Sandusky Borrower, jointly and severally), each having an address at c/o CNL Income Properties, Inc., 450 South Orange Avenue, Orlando, Florida 32801, and NSPL, INC. a New York corporation, having an address at Citigroup Global Markets Realty Corp., 388 Greenwich Street, 19th Floor, New York, New York 10013 (together with its successors and assigns, whether one or more, “Lender”).
