STAAR SURGICAL COMPANY, a Delaware corporation (the “Borrower”), and WELLS FARGO BANK, NATIONAL ASSOCIATION (“Lender”) through its WELLS FARGO BUSINESS CREDIT operating division, hereby agree as follows:
