THIS GUARANTY OF RESIDUAL (this “Guaranty”) is executed and entered into as of June 29, 2006, by PIEDMONT ENERGY PARTNERS, INC., a North Carolina corporation (together with its permitted successors and permitted assigns, being hereinafter referred to as “Guarantor”), in favor of U.S. BANK NATIONAL ASSOCIATION, a national banking association, not in its individual capacity, but solely as Collateral and Paying Agent for the benefit of the Secured Parties (the “Collateral and Paying Agent”).
