THIS CONSULTING AGREEMENT (the “Agreement”) is made and entered into effective the 4th day of October 2005 (the “Effective Date”) by and between Berkley Financial Services Ltd. , whose principal place of business is (“Consultant”) and Smart Online, Inc. Hadar LLC (“Advisor”) is pleased to submit to you this letter agreement (“Letter Agreement”) which sets forth the terms pursuant to which Advisor will provide Smart Online, Inc. (“Company”) financial advisory and other consulting services in connection with the engagement described herein.
