This SECOND AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of October 16, 2007, by and among THOMAS & BETTS CORPORATION, a Tennessee corporation (the “Borrower”), the financial institutions from time to time party hereto as lenders (collectively, the “Lenders” and individually, each a “Lender”), and WACHOVIA BANK, NATIONAL ASSOCIATION, as Administrative Agent, Swing Bank and Issuing Bank.
