AMENDMENT NO. 1 (this “Amendment”) dated as of January 7, 2008, to the AMENDED AND RESTATED CREDIT AGREEMENT dated as of October 30, 2007 among SPORT SUPPLY GROUP, INC., a Delaware corporation (“Borrower”), the financial institutions or other entities listed on the signature pages hereto (each, a “Lender”), MERRILL LYNCH COMMERCIAL FINANCE CORP.
