Atlas Air Worldwide Holdings, Inc., a Delaware corporation (the “Company”) proposes to issue and sell to the several underwriters listed in Schedule I here (the “Underwriters”), for whom Morgan Stanley & Co. Incorporated and Goldman, Sachs & Co. are acting as representatives (together, the “Representatives”), an aggregate of 4,000,000 shares of its common stock, par value $0.01 per share (the “Common Stock”) (the “Firm Shares”).
