This Securities Purchase Agreement dated as of April 13, 2011 (this “Agreement”) is among K12 Inc., a Delaware corporation (the “Company”), the entities listed as “Purchasers” on the signature pages hereto (each, a “Purchaser” and, collectively, the “Purchasers”), and, solely for purposes of Section 4.2(b), TCMI, Inc., a Delaware corporation (“TCMI”).
