This EXECUTIVE RETENTION AGREEMENT (the “Agreement”), made and entered into on the 3rd day of August 2011 (the “Effective Date”), is by and between ERIE INDEMNITY COMPANY, a Pennsylvania corporation with its principal place of business at 100 Erie Insurance Place, Erie, Pennsylvania 16530-0001 (the “Company”) and JAMES J. TANOUS, Executive Vice President, Secretary and General Counsel of the Company residing in Erie, Pennsylvania (the “Executive”).
