THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (“Agreement”) is made and entered into on this day of February, 2012 (the “Effective Date”) by and between CHS Inc., a corporation organized and existing under the laws of Minnesota (“CHS”) and Cargill, Incorporated, a corporation organized and existing under the laws of Delaware (“Cargill”), each hereafter individually referred to as a “Member” and collectively referred to as “Members”.
