THIS AGREEMENT is dated as of August 30, 2012 and shall become effective as of the 1st day of October, 2012 (the “Effective Date”), by and among Southwest Bancorp, Inc., a bank holding company organized under the laws of the State of Oklahoma (the “Company”), the Stillwater National Bank and Trust Company, a national bank organized under the laws of the United States, and the Bank of Kansas, a state bank chartered under the laws of the State of Kansas (each, a “Bank” and, collectively, the “Banks” and collectively with the Company, the “Employer”), and Mark W. Funke (the “Executive”).
