THIS GUARANTY AGREEMENT (the “Guaranty”) is executed as of February 7, 2014, by INDEPENDENCE REALTY OPERATING PARTNERSHIP, LP, a Delaware limited partnership, having an address at 2929 Arch Street, 17th Floor, Philadelphia, Pennsylvania 19104 (whether one or more, together with its permitted successors and assigns, collectively referred to as “Guarantor”), for the benefit of BANK OF AMERICA, N.A., a national banking association, having an address at 214 North Tryon Street, NC1-027-15-01, Charlotte, North Carolina 28255 (together with its successors and assigns, “Lender”).
