THIS SHARE EXCHANGE AGREEMENT, dated as of the 5th day of September, 2007 (the “Agreement”), by and among JMG Exploration, Inc., a Nevada corporation (the “Company”), on the one hand; and Nils Ollquist, an individual (“Ollquist”), Alessandro Parenti, an individual (together with Ollquist, the “Sellers”), ESAPI Ltd., a company organized under the laws of the Commonwealth of the Bahamas (“ESAPI”), and Newco Group Ltd. a company organized under the laws of the British Virgin Islands (“Newco”), on the other hand.
