In connection with the Agreement and Plan of Merger, dated as of January 28, 2011 (the "Merger Agreement"), by and among Alpha Natural Resources, Inc. (the "Company"), its subsidiary and Massey Energy Company ("Massey"), Massey merged with the Company's subsidiary and the Company assumed Massey's obligations hereunder, effective on June 1, 2011.
