THIS SECOND AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP, executed on April 30, 2015 and effective as of January 1, 2015, (the “Agreement”) is entered into by and among Education Realty OP GP, Inc., a Delaware corporation, as the General Partner, and the Persons whose names are set forth on the Partner Registry (as hereinafter defined) as Limited Partners, together with any other Persons who become Partners in Education Realty Operating Partnership, LP (the “Partnership”) as provided herein.
