THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of September 16, 2022 (the “Effective Date”) by and among (i) CALLA LILY HOLDINGS LLC, a Delaware limited liability company (the “Lender”), (ii) ZOVIO INC, a Delaware corporation (“Borrower Representative”) and (iii) FULLSTACK ACADEMY, LLC, a Delaware limited liability company (“FullStack”, and together with Borrower Representative, collectively, “Borrowers”, and each a “Borrower”), provides the terms on which Lender shall lend to Borrower and Borrower shall repay Lender.
