Any holder of the Original Senior Notes using this exchange offer to participate in a distribution of Exchange Notes cannot rely on the no-action letters referred to above. This includes a broker-dealer that acquired Original Senior Notes directly from Rhodia, but not as a result of market-making activities or other trading activities. Consequently, the noteholder must comply with the registration and prospectus delivery requirements of the Securities Act in the absence of an exemption from these requirements. Each broker-dealer that receives Exchange Senior Notes for its own account in exchange for Original Senior Notes that were acquired by such broker-dealer as a result of market-making activities or other trading activities must acknowledge that it will deliver a prospectus in connection with any resale of such Exchange Senior Notes.
