This SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”), dated as of August 27, 2015, is entered into by and between Spirit Realty Capital, Inc., a Maryland corporation (including any successors and/or assigns, the “Company”) and Thomas H. Nolan, Jr. (the “Employee”). This Agreement amends and restates in its entirety the Original Agreement (as defined below) and shall be effective as of the Second Amended Effective Date (as defined below).
