This Supplemental Executive Retirement Agreement (this "Agreement") is made and entered into effective as of this 20th day of March, 2007 (the "Effective Date"), by and between JAMES R. Terry, Jr., an individual, ("Executive") and The South Financial Group, Inc., a South Carolina corporation financial institution holding company headquartered in Greenville, South Carolina ("Company"). As used herein, "Company" shall include the Company and any of its subsidiaries where the context so applies.
