We, the undersigned, Cohen & Steers Capital Management, Inc. herewith confirm our agreement with you as follows: 1. We have been retained by Cohen & Steers International Realty Fund, Inc. (the "Fund"), an open-end, non-diversified management investment company registered under the Investment Company Act of 1940 (the "Act"), to serve as the Fund's investment manager.
