THIS COLLABORATIVE DEVELOPMENT AGREEMENT (“Agreement”) is entered into and effective as of the 1st day of April, 2013 (the “Effective Date”), by and between Micron Technology, Inc., a Delaware corporation with offices located at 8000 S. Federal Way, Boise, Idaho 83716 (“Micron”) and Intermolecular, Inc., a Delaware corporation with offices located at 3011 North First Street, San Jose, California 95134 (“Intermolecular”).

THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of May __, 2013 (the “Effective Date”) between SILICON VALLEY BANK, a California corporation (“Bank”), and INTERMOLECULAR, INC., a Delaware corporation (“Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank. This agreement (the “Second Extension”) is entered into and made effective as of April 1, 2013 (the “Effective Date”), by and between ELPIDA MEMORY, INC., a Japanese corporation operating at 2-1, Yaesu 2-chome, Chuo-ku, Tokyo 104-0028, Japan (“Elpida”), and INTERMOLECULAR, INC., a Delaware corporation operating at 3011 North First Street, San Jose, California 95134 (“Intermolecular”). Elpida and Intermolecular may be referred to individually as a “Party,” or collectively as the “Parties.”

WHEREAS GLOBALFOUNDRIES Inc., an exempted company incorporated under the laws of the Cayman Islands, and having a registered address at PO Box 309, Ugland House, Grand Cayman KY1-1104, Cayman Islands (hereinafter referred to as "GLOBALFOUNDRIES" or “GF”) and INTERMOLECULAR, INC., a Delaware corporation located at 3011 North First Street, San Jose, California 95134 (hereinafter referred to as "Intermolecular" or “IM”) entered into a Collaborative Development Program agreement with an effective date of June 1, 2011 (“CDP Agreement”).
