This Purchase and Sale Agreement (this “Agreement”) is made and entered into this 18th day of June, 2007, but shall be effective as of 7:00 a.m. Central Standard Time on the 1st day of June, 2007 (the “Effective Time”), by and between Miss-Lou Petroleum LLC, a Louisiana limited liability company, whose address is 225 North Columbia Street, Covington, Louisiana 70433 (hereinafter referred to as “Miss-Lou” or “Seller”) and Affiliated Holdings, Inc., a Texas corporation, whose address is 5075 Westheimer Road, Suite 975, Houston, Texas 77056 (hereinafter referred to as “Affiliated” or “Buyer”)(sometimes herein Seller and Buyer are collectively called the “Parties” and, individually, called a “Party”).
