This Stock Option Agreement (this "Agreement") is effective as of October 1, 2008, (the "Option Grant Date") by and between ABC Funding, Inc., a Nevada corporation having its principal place of business at 4606 FM 1960 West Suite 400, Houston, Texas 77069 (the "Company"), and Jim B.
