THIS GUARANTY (as it may hereafter be amended, supplemented, modified or restated from time to time, this “Guaranty”), dated as of August 3, 2021, is executed and delivered by the Borrower, each Subsidiary of the Borrower that is a signatory hereto and any future Subsidiary of the Borrower that is a Restricted Subsidiary (as each of the foregoing is defined in the Credit Agreement referenced below) that executes and delivers an Amendment hereto (each a “Guarantor” and, collectively, the “Guarantors”), in favor of the Secured Parties and Jefferies Finance LLC, as Collateral Agent (each as defined in the Credit Agreement referenced below, together with any successors appointed pursuant to Section 10.06 of the Credit Agreement) for the Secured Parties. Unless otherwise defined herein, all capitalized terms used herein shall have the meanings assigned to them in the Credit Agreement.
