TreeHouse Foods, Inc., a Delaware corporation (the “Company”), is pleased to grant you this Performance-Based Restricted Share Unit Award (the “Award”) under the TreeHouse Foods, Inc. Equity and Incentive Plan, as amended and restated effective February 27, 2019 (the “Plan”). This Award is subject to the terms and conditions as set forth in this Performance-Based Restricted Share Unit Award Agreement (the “Agreement”) and the Plan, which is incorporated by reference herein in its entirety.
