THIS RESTRICTED SHARE UNIT AGREEMENT (this “Agreement”), dated as of _______________, 20___, is entered into between International Coal Group, Inc., a Delaware corporation (the “Company”), and __________________________ (“Grantee”). Capitalized terms used herein but not defined shall have the meanings assigned to those terms in the Company’s 2005 Equity and Performance Incentive Plan, as amended (the “Plan”).
