This AGREEMENT is made and entered into this 14th day of June, 2006, between and among AGA RESOURCES, INC., a Nevada corporation (“AGA”), TRIUMPH RESEARCH LIMITED , a corporation organized and existing under the laws of the British Virgin Islands (“Triumph”), BEIJING TANGDE INTERNATIONAL FILM AND CULTURE CO., LTD., a company organized and existing under the laws of the Peoples’ Republic of China (“Tangde”), and all of the holders of the common shares of Triumph (the “Triumph Stockholders”).
