On February 6, 2006, the Board of Trustees approved an Agreement and Plan of Reorganization dated February 6, 2006 (the "Agreement") with respect to the reorganization between Morgan Stanley Total Return Trust and Morgan Stanley Strategist Fund (the "Fund").
