THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) dated February 27, 2012 (the “Signing Date”) is by and between BP AMERICA PRODUCTION COMPANY, a Delaware corporation, with an office at 501 WestLake Park Boulevard, Houston, Texas 77079 (hereinafter referred to as “Seller” or “BP”) and Linn Energy Holdings, LLC, a Delaware limited liability company, with an office at 600 Travis Street, Suite 5100, Houston, Texas 77002 (“Buyer”) (individually, a “Party” and collectively, the “Parties”.)
